Important Notice
Welcome to BaseKM (the "Platform"), a platform that enables event organizers to create and manage events and allows participants to register for those events. The Platform is owned and operated by TERA TECHNOLOGIES ENTERPRISE CORP., a corporation duly organized and existing under the laws of the Republic of the Philippines, registered with the Securities and Exchange Commission under Registration No. 2024010133959-05 (the "Company", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms of Service ("TOS"). If you do not agree with these terms, please do not use the Platform.
1. Acceptance of Terms
By accessing or using the Platform, whether as an event organizer ("Organizer") or participant ("Participant"), you agree to these TOS and any additional terms provided during event registration, including the BaseKM Waiver. If you are using the Platform on behalf of an organization or minor, you represent that you have the authority to bind them to these TOS.
2. Platform Description
BaseKM is a platform that facilitates event creation, management, and registration. Organizers create events and set their own rules, pricing, and refund policies. Participants register for events through the Platform. We are not the organizer of any event and are not responsible for the conduct, safety, or management of events.
3. User Responsibilities
Organizers
You are responsible for ensuring your events comply with applicable laws, providing accurate event information, managing registrations, and adhering to your stated refund policies. You agree to indemnify us against claims arising from your events.
Participants
You agree to comply with event rules set by Organizers, provide accurate registration information, and accept the BaseKM Waiver upon registration. You acknowledge that we are not responsible for event outcomes or Organizer actions.
General
All users must use the Platform lawfully, refrain from unauthorized access, and not engage in activities that disrupt the Platform (e.g., hacking, spamming).
4. Registration and Payments
Registration
Participants must provide accurate information during registration. By registering, you agree to the BaseKM Waiver and any Organizer-specific terms.
Payments
Organizers set event fees, and payments from Participants are collected and processed by us on behalf of the Organizers. We may temporarily hold funds before remitting payouts to Organizers in accordance with the Platform’s payout schedule and applicable verification, fraud prevention, or compliance requirements.
We charge a platform fee on transactions processed through the Platform. This platform fee includes, among other things, costs associated with payment processing and third-party payment gateway services, as well as the operation, maintenance, and improvement of the Platform, including infrastructure, software development, security, customer support, and compliance. We reserve the right to adjust this fee at any time.
Payments are subject to the terms and conditions of third-party payment processors used by us. We are not responsible for errors, delays, or issues caused by such third-party providers, except where required by applicable law.
Refunds
Registration fees are refunded, if at all, in accordance with the refund policy set by the Organizer of the relevant event, since Organizers are responsible for reviewing and approving refund requests for their own events. We will facilitate the refund process with the Organizer, including processing approved refunds through the Platform, but are not obligated to issue a refund of a registration fee except as required by law or at our discretion in cases involving fraud, platform error, or other exceptional circumstances.
Processing fees, including the platform fee and any third-party payment processing fees, are non-refundable, even if the underlying registration fee is refunded by the Organizer.
5. Content and Intellectual Property
User Content
Organizers and Participants grant us a non-exclusive, worldwide, royalty-free license to use, display, and reproduce content (e.g., event descriptions, images) provided to the Platform for operational and promotional purposes.
BaseKM Content
The Platform's content, including logos, designs, and software, is owned by us or our licensors. You may not copy, modify, or distribute this content without permission.
6. Liability and Disclaimers
No Warranty
The Platform is provided "as is" without warranties of any kind. We do not guarantee the accuracy of event information or the safety of events.
Limitation of Liability
The Company, its affiliates, and their officers, directors, or employees are not liable for any damages, including incidental or consequential damages, arising from your use of the Platform or participation in events, to the fullest extent permitted by law.
Third-Party Actions
We are not responsible for the actions of Organizers, Participants, or third parties, including event-related injuries, losses, or disputes.
7. Termination
We may suspend or terminate your access to the Platform at our discretion, including for violations of these TOS, fraudulent activity, or unlawful conduct. You may stop using the Platform at any time.
8. Indemnification
You agree to indemnify and hold harmless the Company, its affiliates, and their officers, directors, and employees from any claims, damages, or costs (including attorney fees) arising from your use of the Platform or violation of these TOS.
9. Governing Law and Dispute Resolution
These TOS are governed by the laws of the Philippines. Any disputes arising from these TOS will be resolved through binding arbitration in Manila, Philippines, except as otherwise required by law. You waive the right to participate in class actions against us.
10. Changes to TOS
We may update these TOS at any time. Changes will be posted on the Platform, and your continued use constitutes acceptance of the updated terms.
